These Terms govern access to UGP, including by-ugp.com, the account portal, server APIs, billing flows, team features, and the Windows application connection. If a signed order, invoice, enterprise agreement, or written contract applies to your account, that document controls where it conflicts with these Terms.

1. UGP service
UGP means Universal Generation Platform. It is an AI coding workspace for Windows with a public website, account portal, backend API, billing routes, team settings, device records, API keys, project records, usage pages, and a desktop application connection.
The website manages account, billing, downloads, documentation, teams, devices, security, and product information. Work with local source code happens in the Windows application when a verified release is available and installed.
Some features depend on configuration, provider availability, account permissions, and server responses. When a required provider, release, sign-in method, or payment route is unavailable, UGP may show an unavailable state instead of pretending the action succeeded.
2. Accounts and organizations
You must provide accurate account information, keep credentials secure, and promptly update information that affects billing, support, or account ownership.
If you use UGP for an organization, you represent that you have authority to use the service for that organization. Organization owners and admins may manage members, roles, project records, billing state, devices, API key metadata, and security settings.
You are responsible for all activity that happens under your account, including activity by invited team members, connected devices, and API keys unless the activity results from a security failure that is not caused by you.
3. Local projects and user content
You remain responsible for the projects, files, prompts, commands, secrets, credentials, datasets, and other content you choose to use with UGP.
You must have the rights needed to open, process, modify, test, or share any code or content you use with the service. Do not submit confidential third-party material unless you are allowed to do so.
UGP may display project paths, project names, activity counts, agent records, tool events, messages, and related metadata in the account portal when the API returns those records.
4. AI-assisted output
UGP can help inspect code, explain behavior, plan changes, prepare edits, run checks, and summarize work. AI output may be incomplete, incorrect, insecure, or unsuitable for your project.
You are responsible for reviewing generated code, terminal commands, dependency changes, configuration changes, and written output before using them in development, production, legal, financial, security, or other sensitive contexts.
External AI providers, payment providers, email providers, and authentication providers may apply their own terms when they are configured and used by your account or deployment.
5. Acceptable use
You may not use UGP to violate law, infringe rights, compromise systems, bypass account limits, attack infrastructure, harvest credentials, distribute malware, evade security controls, or interfere with other users.
You may not try to reverse engineer protected service components, access another account, abuse API keys, overload the service, scrape private data, or misrepresent the source or purpose of your requests.
UGP may suspend or restrict access where needed to protect users, infrastructure, billing systems, legal obligations, or the integrity of the service.
6. Plans, payments, and billing
The public plan shape is Free at $0, Pro at $20/month, Team at $40/user/month, and Enterprise with custom pricing. Taxes, currency conversion, discounts, procurement terms, invoice details, and final checkout amounts may be shown by Stripe, an invoice, an order form, or another written agreement.
Paid plans use configured billing routes, including Stripe Checkout and the Stripe Customer Portal when available. If billing is not configured or a checkout route is unavailable, the website should show an honest unavailable state.
Cancellation timing, renewals, refunds, consumer withdrawal rights, trials, credits, and billing disputes depend on the checkout terms, invoice, order form, applicable law, and written owner confirmation. Contact support before relying on any billing assumption that is not shown in your checkout or account portal.
7. Downloads and updates
The Windows application should be downloaded only from a verified UGP release location. The public download page displays a direct installer only when a release URL and version are configured.
Installer version, checksum, supported Windows version, architecture, signing state, and release notes must be verified before a public release is treated as available.
You are responsible for installing updates from trusted UGP sources and for backing up important projects before using software that can read, edit, test, or run code.
8. Security, API keys, and devices
UGP provides account surfaces for sessions, linked devices, scoped API keys, key rotation, revocation, teams, and security settings where supported by the API.
You are responsible for protecting passwords, devices, API keys, OAuth access, environment variables, tokens, and project secrets. Revoke exposed keys or devices as soon as possible.
Do not share account access in a way that bypasses team roles, billing, security controls, or audit expectations.
9. Availability and changes
UGP may change features, routes, providers, limits, pricing presentation, documentation, and release availability as the product evolves.
The service may be interrupted by maintenance, provider outages, configuration problems, network failures, release issues, security events, or changes in third-party services.
Enterprise service levels, support commitments, data processing terms, procurement rules, and self-host obligations require a separate written agreement.
10. Disclaimers and responsibility
UGP is provided for developer productivity and account management. It is not a substitute for professional review, security audit, legal advice, financial advice, compliance approval, or production release controls.
To the extent allowed by law, UGP is provided without warranties that it will be uninterrupted, error-free, secure against every threat, compatible with every project, or suitable for every use case.
You are responsible for testing changes, reviewing dependencies, protecting backups, preserving licenses, checking generated output, and deciding whether results are appropriate for your project.
11. Contact, legal details, and updates
Questions about accounts, privacy, billing, procurement, enterprise terms, legal notices, or ownership details should be sent to the support contact on this page.
UGP does not publish unverified legal entity names, tax identifiers, postal addresses, jurisdiction, or registered-agent details on this page. Those details must come from the owner, invoice, order form, or a signed agreement.
UGP may update these Terms. The updated date should change when material changes are published.
